Terms of Service & Customer Authorization

1. Acceptance of These Terms

These Terms of Service and Customer Authorization (“Terms”) govern your use of safeNdrive Compliance's website, platform, compliance assistance, filing, registration, document management, and related services (“the Service”).

By creating an account, purchasing a service, submitting information, or selecting “I Agree & Continue,” you confirm that you have read, understood, and agreed to these Terms. If you do not agree, do not use the Service. These Terms apply to all users, including carriers, consultants, and any other organization that creates an account.

2. Our Services

safeNdrive Compliance provides administrative and transportation compliance support services, which may include:

• DOT compliance assistance
• UCR registration and renewal assistance
• IFTA filing assistance
• IRP registration and renewal assistance
• Vehicle registration and permit assistance
• MCS-150 filing assistance
• Form 2290 (HVUT) preparation and filing assistance
• Driver Qualification File management
• Motor Vehicle Record (MVR) management
• FMCSA Clearinghouse administrative services, when properly authorized
• Vehicle inspection and expiration tracking
• Compliance document storage and management
• Audit preparation and corrective-action support
• New motor carrier and business filing assistance
• Insurance assistance
• Other transportation compliance and administrative services selected by the customer

The exact services provided depend on the service or subscription purchased by the customer.

3. Authorization to Act on Your Behalf

By accepting these Terms, you authorize safeNdrive Compliance and its authorized personnel to perform the administrative services you request on behalf of you and/or your company.

This authorization may include permission to:

• Prepare and submit applications, registrations, renewals, updates, reports, forms, and other documents
• Communicate with federal, state, and local government agencies concerning requested services
• Access government or third-party systems where you have lawfully authorized safeNdrive Compliance to act
• Create or assist in creating accounts necessary to provide requested services
• Request appropriate third-party, agent, associate, C/TPA, or other representative access where available
• Upload, download, receive, organize, and maintain documents
• Submit information provided or approved by you
• Pay government fees on your behalf when specifically authorized
• Receive filing confirmations, notices, permits, registrations, and other records related to services you requested
• Take reasonable administrative steps necessary to complete the service you ordered

This authorization is limited to services requested by you and does not transfer ownership or control of your company to safeNdrive Compliance.

4. Account Access and Credentials

Whenever a government agency or third-party system provides an authorized representative, agent, associate, C/TPA, delegated-user, or similar access method, safeNdrive Compliance may request that you authorize us through that method.

You agree to cooperate with reasonable account-verification, authorization, identity-verification, and access procedures required by the applicable agency or system.

safeNdrive Compliance will not require you to provide credentials where password sharing or credential sharing is prohibited by the applicable system. Certain accounts, including Login.gov and other identity-verification accounts, may require you to personally complete authentication, identity verification, authorization, electronic signatures, or other actions.

5. Accuracy of Customer Information

You are responsible for providing complete, current, and accurate information. safeNdrive Compliance may rely on information and documents provided by you, your employees, drivers, authorized representatives, government databases, and other sources you authorize. You agree to promptly review information when we request confirmation.

safeNdrive Compliance is not responsible for penalties, rejected filings, delays, additional fees, or other consequences resulting from inaccurate, incomplete, fraudulent, outdated, or late information supplied by the customer or another person acting for the customer.

6. You Remain Responsible for Compliance

safeNdrive Compliance provides administrative filing, document management, monitoring, and compliance support. Unless expressly stated otherwise, we do not replace the customer's legal responsibility to comply with applicable federal, state, and local laws and regulations.

The motor carrier, employer, taxpayer, registrant, vehicle owner, or other responsible party remains responsible for its regulatory obligations and for reviewing filings and information submitted on its behalf.

7. Accounts and Organizations

You must provide accurate account information and keep it current. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Accounts are organized by company; you are responsible for the users you invite and the access you grant them. You must promptly notify us of any unauthorized use.

Compliance data is segregated by organization. You may not attempt to access data belonging to another organization.

8. Subscriptions, Billing, and Government Fees

safeNdrive Compliance offers paid subscription plans billed monthly or annually. After a free trial period, continued access requires a paid subscription. Payments are processed by Stripe. You may cancel at any time; cancellation takes effect at the end of the current billing period. Refunds are not provided for partial billing periods.

Government and third-party fees are separate. Your subscription covers access to the safeNdrive Compliance platform and the services in your plan only. Government filing fees, state fees, taxes, registration fees, permit fees, MVR report fees, FMCSA Clearinghouse query fees, processing fees, postage, inspection costs, and other third-party charges are not included unless specifically stated at checkout, and may apply in addition.

When you authorize safeNdrive Compliance to make a government or third-party payment on your behalf, you authorize us to process that payment using the payment arrangement presented to you.

9. Processing Times

Processing times displayed or communicated by safeNdrive Compliance are estimates unless expressly guaranteed in writing. Government agencies and third-party systems control their own processing times.

safeNdrive Compliance cannot guarantee that an agency will approve an application, issue a permit, grant operating authority, process a registration by a particular date, or accept a filing.

10. Form 2290 and Tax Filing Services

When purchasing Form 2290 or other permitted tax preparation or filing assistance, you certify that the information supplied to safeNdrive Compliance is accurate and complete. You remain responsible for reviewing and approving your tax information and for the accuracy of information you provide.

Where required, safeNdrive Compliance or the individual preparing the return will comply with applicable paid-preparer requirements. Your acceptance of these general Terms does not replace any taxpayer signature, declaration, authorization, or consent specifically required by the IRS.

11. FMCSA Clearinghouse Services

When safeNdrive Compliance provides FMCSA Drug & Alcohol Clearinghouse services, you authorize us to perform only those functions that we are legally permitted and properly designated to perform.

Where required, you must separately designate safeNdrive Compliance as your Consortium/Third-Party Administrator (C/TPA) within the FMCSA Clearinghouse. Acceptance of these Terms alone does not substitute for an FMCSA-required C/TPA designation, driver consent, or other government-required authorization.

12. IFTA, IRP, Registration, and State Services

Requirements for IFTA, IRP, vehicle registration, titles, permits, and similar services vary by jurisdiction. You authorize safeNdrive Compliance to prepare and submit requested filings as your administrative representative where permitted.

If a state requires a separate Power of Attorney, agent designation, notarized authorization, original signature, identity verification, or other form, you agree to complete that requirement before safeNdrive Compliance performs the affected service.

13. Document Management

You authorize safeNdrive Compliance to receive, store, organize, process, and maintain documents reasonably necessary to provide your selected services. Documents may include company information, USDOT/MC information, vehicle records, driver records, registration records, tax documents, permits, inspection records, compliance documents, and other information you submit.

You are responsible for maintaining any original records that applicable law requires you to retain.

14. Expiration Tracking and Reminders

safeNdrive Compliance may provide reminders concerning registrations, permits, licenses, inspections, filings, driver documents, and other expiration dates. Reminder services are provided as an administrative convenience.

The customer remains responsible for knowing and meeting applicable deadlines. Failure to receive a reminder does not extend a government deadline or relieve the customer of its legal obligations.

15. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any regulations
• Upload false, fraudulent, or misleading compliance records
• Attempt to gain unauthorized access to any part of the Service
• Reverse engineer, decompile, or attempt to extract source code
• Resell or sublicense access to the Service without written consent

16. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference and describes how we share information with government agencies when performing the services you authorize.

17. Intellectual Property

The Service and its content — including software, design, text, and graphics — are owned by safeNdrive Compliance and protected by copyright and other intellectual property laws. You retain ownership of the compliance data you upload. By uploading data, you grant safeNdrive Compliance a limited license to process and store it solely to provide the Service.

18. No Legal Representation

safeNdrive Compliance is not a law firm, and its administrative and compliance-support services do not create an attorney-client relationship. Unless a service is being provided by an appropriately licensed professional, information provided by safeNdrive Compliance should not be considered legal advice.

Customers should consult an attorney, CPA, enrolled agent, insurance professional, or other licensed professional when professional advice is required.

19. No Government Affiliation

safeNdrive Compliance is a private third-party service provider. We are not the FMCSA, U.S. Department of Transportation, IRS, UCR Plan, DMV, Department of Revenue, Secretary of State, or any other federal or state government agency.

Customers may have the option to perform certain filings directly with the appropriate government agency without using safeNdrive Compliance.

20. Electronic Communications

You consent to receive service-related communications electronically. These communications are currently delivered by email and through notifications in your safeNdrive Compliance account, and may in future include text message or telephone where you provide the necessary contact details and any separately required consent.

Such communications may include document requests, filing updates, expiration reminders, compliance notices, invoices, and service notifications. Marketing communications will be handled according to applicable law and any separate consent requirements, and you may opt out of them without affecting service-related messages.

21. Electronic Signatures and Records

By selecting “I Agree & Continue,” you agree that your electronic acceptance has the same effect as your handwritten signature to the extent permitted by applicable law.

safeNdrive Compliance maintains an electronic record of your acceptance, including the date and time of acceptance, the account it was given for, the version of these Terms displayed to you, and reasonable transaction records such as the originating network address.

22. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

23. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SAFENDRIVE COMPLIANCE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

24. Cancellation and Termination of Authorization

You may request cancellation of safeNdrive Compliance's authorization for future services by contacting us. Cancellation does not invalidate filings, payments, transactions, or services already performed at your direction.

You may also need to separately remove safeNdrive Compliance from government systems where you previously designated us as an agent, associate, C/TPA, representative, or authorized user.

We reserve the right to suspend or terminate your account for violation of these Terms. You may delete your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately.

25. Limitation of Services

safeNdrive Compliance may decline, suspend, or discontinue a service when:

• Required information is missing
• Customer authorization cannot be verified
• Payment has not been made
• Providing the requested service would violate applicable law or agency rules
• Required government access or authorization has not been granted
• We reasonably believe information submitted is fraudulent or materially inaccurate

26. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Dallas County, Texas.

27. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by displaying a notice in the Service. Where a change materially affects the authorization you have granted us, you will be asked to accept the revised Terms before continuing to use the Service.
